Terms of Service

Effective Date: 7 October 2026 · Governing Law: Republic of Estonia (Law of Obligations Act / Võlaõigusseadus)

1. Acceptance of Terms & Corporate Entity

These Terms of Service ("Terms") govern all B2B technical consultations, integration deliverables, and custom software automation services provided by Konero Europe OÜ, registered in the Republic of Estonia under commercial code 16925831, located at Ülemiste Business Area 2, Tallinn 11415, Estonia ("Konero", "we", "us").

By executing a project agreement, accepting a technical specification, or paying an invoice issued by Konero, the corporate client ("Client") agrees to be bound by these Terms.

2. Scope of Services & Technical Milestones

Konero provides enterprise software engineering solutions specialized in European e-commerce infrastructure, including but not limited to:

  • E-Commerce & ERP Integration (€490): Bidirectional API connectors between digital storefronts (Shopify, WooCommerce, custom) and ERP/3PL warehouse management systems.
  • EU VAT & Invoicing Pipelines (€750 - €950): Automated tax calculation, One-Stop Shop (OSS/KMKR) compliance, and PEPPOL-compatible e-invoicing pipelines.
  • High-Concurrency Webhook Hubs (€1,250 - €1,850): Resilient event ingestion pipelines, exponential back-off retries, and dead-letter queue architectures.

Prior to project commencement, a clear Technical Scope Document is mutually agreed upon in writing defining endpoints, payload structures, deployment environments, and acceptance criteria.

3. Pricing, Invoicing, and Currency

All service engagements are priced exclusively in Euros (EUR, €). Invoicing is conducted via secure payment links issued through Stripe Payments Europe Ltd. Unless explicitly agreed otherwise in writing, engagements are fixed-scope and milestone-settled. Invoices include statutory Estonian VAT (KMKR) where applicable, or reverse-charge mechanisms for EU VAT-registered entities outside Estonia under Directive 2006/112/EC.

4. Service Level Agreement (SLA) & Zero-Dispute Commitment

We operate under a strict deterministic delivery standard:

  • Warranty Period: Every custom deployment includes a minimum 30-day (up to 60-day for Enterprise suites) post-deployment warranty SLA.
  • Defect Remediation: Any bug, integration drift, or error directly resulting from our delivered connector logic is remediated at zero additional cost within 24 to 48 business hours during the warranty period.
  • Pre-Billing Approval: We never invoice clients before the technical scope, test plan, and deliverable boundaries are confirmed in writing.

5. Intellectual Property & Deliverables Ownership

Upon receipt of full payment, all bespoke script codes, orchestration workflows, and configuration documentation created specifically for the Client become the exclusive property of the Client. Konero retains ownership of its underlying modular frameworks, proprietary algorithms, and internal utility libraries.

6. Confidentiality & Security

Both parties agree to treat all exchanged architectural data, API credentials, customer datasets, and business logic as strictly confidential. Credentials must be shared solely via encrypted channels or short-lived environment secrets. Konero never retains client database records beyond temporary integration testing sessions.

7. Limitation of Liability

To the fullest extent permitted by Estonian law (Võlaõigusseadus), Konero's total aggregate liability arising out of or related to any engagement shall not exceed the total fees actually paid by the Client to Konero for the specific service module during the three (3) months preceding the incident. Neither party shall be liable for indirect, incidental, or consequential damages, including lost revenue or third-party service provider outages (e.g., Shopify or cloud infrastructure downtime).

8. Consumer Protection & 14-Day Right of Withdrawal (EEA Consumers)

While Konero Europe OÜ primarily provides technical services to business entities (B2B), in accordance with European Union Directive 2011/83/EU on Consumer Rights and the Estonian Law of Obligations Act (Võlaõigusseadus), any natural person residing within the European Economic Area (EEA) acting outside their trade, business, craft, or profession ("Consumer") is entitled to a statutory right of withdrawal within fourteen (14) days from the date of contract conclusion without providing any reason.

Where a Consumer explicitly requests the immediate commencement of custom digital engineering services during the withdrawal period, the Consumer acknowledges that their right of withdrawal expires once the services have been fully performed by Konero Europe OÜ.

9. Governing Law & Dispute Resolution

These Terms and all commercial contracts are governed by and construed in accordance with the laws of the Republic of Estonia. In the event of any disagreement, the parties commit to good-faith commercial negotiation for a period of thirty (30) days. Any unresolved dispute shall be submitted to the exclusive jurisdiction of the Harju County Court (Harju Maakohus) in Tallinn, Estonia.
